1. 合作範圍 Scope of Cooperation
供(INFINITE)需(設計師)雙方同意建立合作貿易關係，合作內容包括：INFINITE浴室潔具定制產品推廣和銷售、良好的技術支持和服務。
The supplier (INFINITE) and buyer (Designer) agree to establish a cooperative trade relationship. The cooperation includes: promotion and sales of INFINITE products, product technical support and services.
2. 名稱和商標 Brand Name and Trademark
供方同意需方可以為了廣告宣傳而使用供方的名稱及商標。例如，製作產品目錄和產品商標。供方同意需方在不損害供方利益和商業形象的前提下對外宣稱為：供方的貿易合作夥伴。但是需方不得以供方名義對外簽約，如果需方不正當使用供方名稱和商標，給供方造成損失和不良影響，需方應當承擔相應責任。
The supplier agrees that the buyer may use the supplier’s brand name and trademark for advertising purposes. For example, making product catalogs and trademarks. The supplier agrees that the buyer declares to the public as a trade partner of the supplier only
without harming the supplier’s interests and commercial image. However, the buyer shall not sign any contract in the name of and/or on behalf of the supplier. If the buyer improperly uses the supplier’s brand name and trademark, causing losses and adverse effects to the supplier, the buyer shall bear the corresponding responsibility.
3. 保密條款 Confidentiality Clause
供需雙方有義務對獲取的內部信息和與供需雙方貿易合作有關的商業信息進行保密，保證不向第三方洩露、傳遞任何供需雙方合作的商業信息和對方的內部資料。包括但不限於供需雙方的優惠價格、技術服務內容、合作期限、合作方式等。在該合同因任何原因終止或解除後該保密條款仍然有效，任何一方違反該條款規定的義務，另一方均有權向對方索賠。
Both the supplier and the buyer are obliged to keep confidential the acquired internal information and the commercial information related to the trade cooperation between the supplier and the buyer, and ensure that any commercial information of the supplier and the buyer and the internal information of the
other party will not be leaked or transmitted to a third party. Including, but not limited to, preferential prices, content of technical service, form of cooperation and period, etc. between the supplier and the buyer. After the
contract is terminated or cancelled for any reason, the confidentiality clause is still valid. If any party violates the obligations stipulated in the clause, the other party shall have the right to claim compensation from the other party.
4. 合作期限及終止Cooperation Period and Termination
本協議自雙方簽署之日起有效期為壹(1)年，並且自動延長為相等的期限，除非任何一方以書面形式宣布終止本協議並提前3個月通知。如一方擅自終止協議，另一方將保留對違約方追究違約責任的權利。
This agreement is valid for one (1) year from the date of signing by both parties, and is automatically extended to an equal period, unless either party announces the termination of this agreement in writing with three months' notice in advance. If one party
terminates the agreement without authorization, the other party reserves the
right to hold the breaching party liable for breach of contract.
5. 合作價格Cooperation Price
供方同意於合作協議生效期內以供方所提供潔具產品報價單上給予25%的折扣優惠向需方提供貨物。價格計算基礎為供方在香港有效的標準零售價格單。該價格或會因物料價格變動而有所調整，均以最終報價為準。
The supplier agrees to provide the buyer with a 25% discount on INFINITE bathroom ware products during the effective period of the cooperation agreement. The price calculation basis is the standard retail price list valid from the supplier in Hong Kong. The price may be adjusted due to material price changes, and subject to the supplier’s quotation.
6. 付款條件 Payment Terms
供方將於收到需方訂單全數金額後，安排該訂單生產。

7. 保修條款 Warranty
供方將對所銷售潔具系列產品提供兩年結構保養。本品質保證只適用於一般家居浴室產品，其製造過程中所引致的結構性問題。有效期由首次購買該產品的發票日期起計兩年內。產品保養不適用於以下情況：生產正常尺寸差異，因物料的天然特性而導致貨品與陳列品出現差異，因不當安裝、使用、存放或意外造成的損壞，以及正常的磨損，顧客曾自行拆卸、改裝、搬動的貨品。
The supplier will provide two-year structural maintenance for the bathroom ware products sold. This quality guarantee is only applicable to the bathroom ware products with structural problems caused by the manufacturing process. The validity period is within two years from the invoice date of the first purchase of the product. Product maintenance does not apply to the following situations: normal size differences in production, differences between goods and displays due to the natural characteristics of materials, damage caused by improper installation, use, storage or accidents, normal wear and tear, and products have been disassembled, modified and moved.
8. 其他 Others
供需雙方的合作方式沒有排他性，雙方在合作的同時，都可以和其他相應的合作夥伴進行合作；
There is no exclusivity in the way of cooperation between the supplier and buyer. Both parties can cooperate with other corresponding partners at the same time
